What It Lets Us Do, and What It Does Not
Do
Add up to 200 users a year at the same unit price
Terminate for convenience once month 24 has passed
Audit the security controls once in any twelve months
Don't
Move any workload to a second supplier without written consent
Assume the 4% cap covers professional services, it does not
Liability and Indemnity
Liability is capped at 125% of the charges paid in the preceding twelve months, which is £1.55M against year one. Data protection and intellectual property indemnities sit outside that cap and are unlimited.
Dates to Diarise
Apr 2026
Service commences on the 1st. The twelve month benchmarking clock starts here.
Apr 2027
First uplift applied, capped at 4%. The annual charge becomes £1.29M.
Apr 2028
Break option opens. Termination for convenience on 90 days written notice.
Oct 2028
Notice window opens on the 2nd. The last day to serve is 31 December 2028.
Mar 2029
Initial term ends on the 31st. Rolls twelve months if no notice was served.
