A 10-K summary takes a public company's annual report on Form 10-K, often 50 to 100 pages before the exhibits, and keeps what a reader needs on one page: sales, profit, cash, what drove the change, what the company did with its cash, and what it says could go wrong. To show how, we read Apple's 10-K for the fiscal year ended 27 September 2025, filed on SEC EDGAR on 31 October 2025, on 12 October 2026. It runs 58 numbered pages before the exhibits. Below is the whole thing on one page, with the item and page number for every figure, so anyone can check it.

What is a 10-K?
Form 10-K is the annual report most US public companies must file with the Securities and Exchange Commission. The SEC's investor bulletin on reading one says the 10-K offers "a detailed picture of a company's business, the risks it faces, and the operating and financial results for the fiscal year."
Three facts from that bulletin shape how to summarize it:
- The company writes it, not the SEC. The SEC sets the topics and their order, and its staff reviews filings, but "neither writes the 10-K nor vouches for its accuracy."
- The CEO and CFO certify it, under the Sarbanes-Oxley Act.
- Every 10-K is public on the SEC's EDGAR website.
How a 10-K is organized: 4 parts, 23 items
SEC rules set the order, so every 10-K has the same map. These are the items in Apple's fiscal 2025 table of contents.
| Part | Items | What is there |
|---|---|---|
| Part I | 1 Business, 1A Risk Factors, 1B Unresolved Staff Comments, 1C Cybersecurity, 2 Properties, 3 Legal Proceedings, 4 Mine Safety Disclosures | What the company does and what could go wrong |
| Part II | 5 Market for the stock and buybacks, 6 Reserved, 7 Management's Discussion and Analysis (MD&A), 7A Market Risk, 8 Financial Statements, 9, 9A, 9B, 9C on accountants, controls and other information | The results, explained and audited |
| Part III | 10 to 14: directors, executive pay, ownership, related transactions, accountant fees | Often moved to the proxy statement |
| Part IV | 15 Exhibits and schedules, 16 Form 10-K Summary | The attachments |
Two details trip people up. Item 16 is literally called "Form 10-K Summary", and it is optional; it is not the kind of summary this guide is about. And Part III is often a set of one-line pointers: Apple's says the information "will be included in the Company's definitive proxy statement", filed within 120 days of year-end, and is incorporated by reference.
Where the numbers for a summary live
Five items hold nearly everything a one-page summary needs.
| Item | What to take from it |
|---|---|
| 1 Business | What the company sells, in one line |
| 1A Risk Factors | The risk groups, not every risk |
| 5 Market for the stock | Buybacks and dividends |
| 7 MD&A | Sales by product and region, margins, what changed and why, cash |
| 8 Financial Statements | The audited totals: sales, profit, earnings per share, cash flow, assets |
When MD&A and the statements give the same figure, quote the statement in Item 8 and use MD&A for the reason behind it.
A real 10-K on one page: Apple, fiscal 2025
Every line below is from Apple's fiscal 2025 10-K. Dollar figures are in millions unless marked. "Item, page" is where to find it in the filing.
The headline numbers
| Line | Fiscal 2025 | Fiscal 2024 | Item, page |
|---|---|---|---|
| Total net sales | $416,161 | $391,035 | 8, p. 29 |
| Operating income | $133,050 | $123,216 | 8, p. 29 |
| Net income | $112,010 | $93,736 | 8, p. 29 |
| Diluted earnings per share | $7.46 | $6.08 | 8, p. 29 |
| Gross margin percentage | 46.9% | 46.2% | 7, p. 24 |
| Research and development | $34,550 | $31,370 | 7, p. 24 |
| Effective tax rate | 15.6% | 24.1% | 7, p. 25 |
| Cash generated by operating activities | $111,482 | $118,254 | 8, p. 33 |
Read across, the story is one sentence: sales up 6%, net income up more, helped by a much lower tax rate than the year before, while operating cash flow fell slightly.
Where sales came from
By product (Item 7, p. 23):
| Category | Net sales | Change |
|---|---|---|
| iPhone | $209,586 | +4% |
| Services | $109,158 | +14% |
| Wearables, Home and Accessories | $35,686 | -4% |
| Mac | $33,708 | +12% |
| iPad | $28,023 | +5% |
By region (Item 7, p. 22): Americas $178,353 (+7%), Europe $111,032 (+10%), Greater China $64,377 (-4%), Japan $28,703 (+15%), Rest of Asia Pacific $33,696 (+10%).
Our arithmetic from the same table: iPhone was 50% of net sales and Services 26%. Those two shares are the line most readers remember.
What it did with the cash
From Item 7's liquidity and capital return sections (pp. 25 to 26):
- Cash, cash equivalents and marketable securities: $132.4 billion at year-end.
- Fixed-rate notes outstanding: $91.3 billion, $12.4 billion of it due within 12 months.
- Buybacks: $89.3 billion of its own stock during the year, under a new program of up to $100 billion announced in May 2025.
- Dividends: $15.4 billion, with the quarterly dividend raised from $0.25 to $0.26 per share.
What it says could go wrong
Item 1A runs from page 5 to page 17. We counted 27 risk factors, each with a bold italic heading, in five groups: Macroeconomic and Industry Risks, Business Risks, Legal and Regulatory Compliance Risks, Financial Risks, and General Risks.
On one page, give the five groups and the two or three risks the year's results actually show. In fiscal 2025 that is the Greater China decline and the tariff discussion in MD&A on page 22.
What is not in it
Executive pay, directors and ownership are in Part III, which Apple's 10-K hands to its 2026 proxy statement. A complete summary says so in one line rather than leaving the reader to look.
The layout: what the one page looks like
The numbers above fit a financial highlights layout: four headline figures in a row, a chart or two, a small table and one sentence of takeaway.
Edit this template
A sample company's five years on one page: four headline numbers, four charts, a table and the takeaway.
What to copy for a 10-K summary:
- Four headline numbers with last year beside them. For Apple: net sales, net income, diluted EPS and gross margin.
- One chart for the mix. Net sales by category tells more than a five-year line.
- A source line on the One-Pager: "Apple Inc. Form 10-K, fiscal year ended 27 September 2025, filed 31 October 2025."
- One sentence of takeaway, written by you, with the numbers it rests on.

How to summarize a 10-K in 7 steps
- Get the filing from EDGAR, and write down the fiscal year end and filing date. Fiscal years do not always end in December.
- Read Item 7 first. MD&A is management's own summary of the year, with the reasons.
- Take 12 to 15 numbers from Item 8 and the MD&A tables: sales, operating income, net income, EPS, margin, cash from operations, cash and debt, buybacks and dividends.
- Put last year beside each one. A number alone is not a result.
- Read the Item 1A group headings, and keep only the risks the year's numbers show.
- Write one sentence of what changed, using only numbers on the One-Pager.
- Trace every figure to an item and page before you share it. If you cannot find it again, cut it.

10-K, 10-Q, 8-K and the annual report to shareholders
| Document | What it is | When |
|---|---|---|
| Form 10-K | The full annual report, audited financial statements included | Once a year |
| Form 10-Q | The quarterly report, with unaudited financial statements | For each of the first three quarters |
| Form 8-K | A current report on a major event, such as a merger or a change of officers | Within days of the event |
| Annual report to shareholders | The report sent before the annual meeting; the SEC bulletin notes it can be a glossy publication, or simply the 10-K itself | Once a year |
When a 10-K is due
The Form 10-K's own instructions set three deadlines after fiscal year-end: 60 days for large accelerated filers, 75 days for accelerated filers, and 90 days for all other registrants. Apple's fiscal 2025 report was filed 34 days after its year ended.
10-K summary mistakes
| Mistake | Fix |
|---|---|
| Numbers with no year beside them | Show the prior year for every figure |
| Mixing MD&A and statement figures that differ by rounding | Quote Item 8 for totals, MD&A for reasons |
| All 27 risk factors | The five groups, and the two or three the year showed |
| A summary with no source line | Company, form, fiscal year end and filing date on the One-Pager |
| Confusing Item 16 with a summary of the filing | Item 16 is an optional item; your summary is your own |
| Your opinion presented as the company's | Mark your own arithmetic and conclusions as yours |
